Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Valori LLC ("Valori," "we," "our," or "us") governing your access to and use of the Valori platform, including our website, mobile application, and all related services (collectively, the "Service").

By creating an account, accessing, or using our Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Valori is an employee recognition platform that enables organizations and individuals to:

• Give and receive peer-to-peer recognition
• Build portable VALOR portfolios of achievements
• Generate shareable certificates for accomplishments
• Track Career Currency and professional growth
• Share achievements on LinkedIn and other platforms
• Access manager insights and team analytics

3. Account Registration

To use our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 16 years old, or the minimum age of digital consent in your jurisdiction, to create an account and use the Service.

4. Subscription and Billing

4.1 Free Trial

We offer a 21-day free trial for new subscribers. During the trial period, you have full access to all features of your selected plan. You will not be charged until the trial period ends.

4.2 Subscription Plans

Valori offers the following subscription plans:

• Starter: $39.99/month - Up to 10 users
• Growth: $89.99/month - Up to 25 users
• Team Plus: $299.99/month - Up to 100 users

4.3 Billing and Refunds

Subscriptions are billed in advance on the billing cycle you select at checkout—either monthly or annually. Annual plans are billed once per year at a discounted rate. Subscriptions renew automatically at the end of each billing period unless you cancel beforehand. We use Stripe for secure payment processing, and we do not store full payment card numbers on Valori servers; all payment data is handled securely by Stripe.

All subscription fees are non-refundable, including partial months of service, except where required by law. No refunds will be issued after the billing period starts.

4.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service until the end of your current billing period. Your VALOR portfolio data remains accessible and exportable after cancellation.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Post false, misleading, defamatory, or offensive content
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use automated means to access the Service without permission
• Reverse engineer, decompile, or disassemble the Service
• Remove or alter any proprietary notices
• Use the Service to send spam or unsolicited communications

6. Prohibited Content

Users may not upload or share the following types of sensitive information through the Service:

• Protected health information (PHI) or medical data
• Government-issued identification numbers (SSN, passport numbers, etc.)
• Financial account numbers or payment card information
• Confidential corporate data, trade secrets, or proprietary information
• Any other sensitive personal information not relevant to workplace recognition

Valori is designed for workplace recognition and professional achievements. Users are responsible for ensuring that content shared through the Service complies with their organization's data policies.

7. User Content

7.1 Your Content

You retain ownership of content you submit to the Service ("User Content"), including recognitions, comments, and profile information. By submitting User Content, you grant Valori a non-exclusive, worldwide, royalty-free license to use, display, and distribute your User Content in connection with operating the Service.

7.2 Content Responsibility

You are solely responsible for your User Content and the consequences of posting it. We do not endorse any User Content and reserve the right to remove content that violates these Terms.

8. Data Processing

Valori acts as a data processor for recognition and portfolio data created by users. We process personal data on behalf of the organization administering the workspace in accordance with our Privacy Policy and applicable data protection laws.

For organizations subject to GDPR or other data protection regulations, Valori will enter into appropriate data processing agreements upon request.

9. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by Valori and protected by copyright, trademark, and other intellectual property laws. The Valori name, logo, and all related names, logos, and slogans are trademarks of Valori LLC.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose, subject to these Terms.

10. VALOR Portfolio and Data Portability

Your VALOR portfolio, including achievements, recognitions, and certificates, is designed to be portable. You may:

• Export your portfolio data at any time
• Share achievements to LinkedIn and other platforms
• Download certificates in PDF format
• Retain access to your portfolio even after leaving an organization

11. Third-Party Integrations

The Service may integrate with third-party services such as Slack and LinkedIn. Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the practices of third-party services.

12. Service Availability and Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We may temporarily suspend the Service for maintenance, updates, security patches, or emergency repairs without prior notice.

We do not guarantee any specific uptime and shall not be liable for any downtime or service interruptions.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALORI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Valori and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your User Content, or your violation of these Terms.

15. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You may export your VALOR portfolio data for a reasonable period
• Provisions that by their nature should survive will remain in effect

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Salt Lake City, Utah, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

18. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Valori regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
